By accessing or using the website GimmeMovie.com (the “Site”) operated by NorthStarMD, LLC (“we,” “us,” or “our”), or by uploading to or downloading from the Site, you (the “User” or “you”) acknowledge that you have read, understand, and agree to be bound by these Terms of Service (“Terms”), regardless of whether you are a registered member.

These Terms govern your use of our Site, and we reserve the right to modify them at any time. Your continued use of the Site following any change constitutes your agreement to the revised terms.

1. Territory Restrictions

The GimmeMovie.com Site is not intended for users located in, or residents of, jurisdictions that require translated legal agreements, including but not limited to Quebec (Canada), France, Germany, and any other location that mandates localized language legal documents, unless and until translations are provided. We reserve the right to deny or restrict access and use in these jurisdictions. When translations become available, users from these regions will be welcome. The Site is also not intended for users located in, or residents of, Switzerland until further notice.

• Use our names, logos, or branding without permission;

3. Supplemental Terms — Terms of Circle

Certain offerings on the Site, including My Inner Circle of Friends (the “Circle”), are governed by supplemental terms (“Terms of Circle”) that apply in addition to these Terms of Service. By participating in the Circle, you agree to both these Terms of Service and the applicable Terms of Circle. In the event of any conflict between the Terms of Service and the Terms of Circle, the Terms of Circle shall govern with respect to the Circle.

Email submissions or correspondence are considered non-confidential unless an NDA is signed. Any ideas or content submitted may be used by us without obligation or compensation.

5. Rules

You agree to follow all the rules set forth in Section 22 of these Terms. These rules are designed to maintain a safe, respectful, and welcoming community, Violations of these rules may result in removal of content, suspension, or termination of your account.

We reserve the right to remove any user-generated content that violates these terms or law enforcement requests. We may retain such data and share it with authorities if deemed necessary.

• Are not responsible for any harm resulting from the use of content, downloads, links, software, or services accessed through the Site.  You access third-party links or user content at your own risk.

9. Indemnification

You agree to indemnify, defend, and hold harmless NorthStarMD, LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:

• Your use of the Site;
• Your breach of these Terms;
• Any content, information, or materials you submit or share on the Site;
• Your violation of any applicable laws or the rights of any third party.

10. Termination

You may terminate this agreement by ceasing use and notifying us at admin@gimmemovie.com (subject: termination).  We may terminate access at any time without notice. Terms that by nature survive termination shall remain enforceable.

11. Binding Arbitration

To resolve any disputes related to your use of this Site, you agree to binding arbitration instead of court. Arbitration is a faster, more informal way to settle disagreements fairly.

• If you are located in North America (the United States or Canada), arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
• If you are located outside North America, arbitration will be administered by the International Centre for Dispute Resolution (ICDR) or another mutually agreed international arbitration provider.

Binding arbitration applies only to disputes where the amount in controversy exceeds $100 USD. For smaller disputes, we encourage informal resolution, and you may also bring your claim in small claims court.

Arbitration will be conducted on an individual basis—not as a class or representative action—and hearings may be held virtually to accommodate all parties.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of such courts. By using this Site, you waive your right to a trial by jury or to participate in any class action or representative proceeding.

12. No Class Actions

You agree to resolve disputes only on an individual basis. No class, collective, or representative actions are permitted.

13. Arbitration Threshold

Binding arbitration applies only where the amount in controversy exceeds $100 USD. Smaller disputes may be resolved informally, and if that fails, either party may pursue the matter in small claims court, as appropriate.

14. General Provisions

These terms are governed by the laws of the State of Florida, specifically Orange County. If any provision is found unenforceable, it does not affect the rest of the terms. Any claim must be brought within one year. No waiver of any term shall be deemed a further waiver.

15. Children’s Privacy and Parental Responsibility

We do not knowingly collect, use, or disclose personal information from children.

Eligibility

Limited satisfaction guarantees, if available, are detailed at the point of purchase or in the accompanying materials. This section does not apply to My Inner Circle of Friends.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account or suspected breach of security. We are not liable for any loss or damage resulting from your failure to secure your account.

19. Subscription Terms and Billing

If you purchase a subscription, you agree to pay the stated fees for the duration selected at checkout. Unless otherwise noted, subscriptions will automatically renew at the end of each billing period (monthly, yearly, etc.) and you authorize us to charge your payment method on file until you cancel.

You may cancel your subscription at any time by following the instructions in your account settings. Cancellation will take effect at the end of the current billing cycle. We do not offer partial refunds unless otherwise stated in our Refund Policy.

You are responsible for keeping your payment information current.

20. User Eligibility and Accounts

By using this Site, you affirm that:

• You will not create an account using false information or impersonate another individual.  

We reserve the right to suspend or terminate any account that violates these eligibility requirements or the Terms.
